These Terms of Service ("Terms") govern your access to and use of jmadisonplc.com and the Cloud Counsel platform (collectively, "the Platform") operated by J. Madison PLC, a Virginia Professional Limited Liability Company ("J. Madison PLC," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. About the Platform

Cloud Counsel is a proprietary web application operated by J. Madison PLC, a licensed Virginia law firm, for the purpose of delivering and facilitating legal services. The Platform is not a general-purpose software product sold or licensed to the public. It is a tool through which J. Madison PLC provides legal services, manages client matters, and collaborates with affiliated counsel, co-counsel, witnesses, and agents.

Visiting this website or creating an account does not, by itself, create an attorney-client relationship. An attorney-client relationship is formed only through a separate, written engagement agreement between you and J. Madison PLC.

2. Geographic Scope

The Platform is operated by J. Madison PLC, a law firm licensed in the Commonwealth of Virginia, United States. The Platform is intended for use by individuals and entities located in the United States in connection with legal matters governed by United States law. The Firm does not offer legal services or solicit clients in the European Union, European Economic Area, United Kingdom, or any other foreign jurisdiction through the Platform. Use of the Platform from outside the United States is at the user’s sole risk and responsibility, and does not create any obligation on the part of the Firm to comply with the laws of the user’s jurisdiction. All use of the Platform is subject to these Terms, including the Virginia governing law and venue provisions.

3. Eligibility and Accounts

You must be at least 18 years of age to use the Platform. By using the Platform, you represent that you meet this requirement.

User accounts are created by invitation or through J. Madison PLC's intake process. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. If you believe your account has been compromised, notify us immediately at info@jmadisonplc.com.

Accounts are managed using Firebase Authentication, a service provided by Google. Your authentication data is handled in accordance with Google's privacy practices, available at firebase.google.com/support/privacy.

4. Account Creation and Authentication

You may create or access a Cloud Counsel account using your email address or through a supported third-party identity provider (such as Google, Apple, Microsoft, Yahoo, or Facebook). By creating an account or authenticating through any of these sign-in methods, you acknowledge and agree to the following:

  • Acceptance of Terms: Completing the sign-in process — whether by email or third-party provider — constitutes your acceptance of these Terms of Service and our Privacy Policy, even if you have not yet submitted a conflict-check request or signed a separate engagement agreement.
  • No Attorney-Client Relationship: Authenticating to the Platform or creating an account does not, by itself, create an attorney-client relationship with J. Madison PLC. An attorney-client relationship for any purpose requires a completed conflict-check clearance and a signed Client Access Agreement or other applicable engagement agreement.
  • Platform Access Requirements: Access to the legal case file development features of the Platform (including the ability to upload documents, build a timeline, and correspond with attorneys through the Platform) requires (i) completion of a conflict-check submission, (ii) clearance of that conflict check by J. Madison PLC, and (iii) execution of a signed Cloud Counsel Client Access Agreement.
  • Unverified Accounts: Users who authenticate via a third-party provider but have not yet completed a conflict-check submission will be assigned an unverified account status. Unverified accounts are limited to submitting a conflict-check request and completing a basic profile. No matter access, billing features, or legal services are available to unverified accounts.
  • Account Linking: If you authenticate through a new provider but already have a Cloud Counsel account under a different email address, we may offer you the opportunity to link your accounts. Linked accounts share the same user record and matter access. It is your responsibility to ensure that linked accounts belong to you.

5. Authorized Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Platform in any way that violates applicable federal, state, local, or international law.
  • Attempt to gain unauthorized access to any part of the Platform, its servers, or any databases connected to the Platform.
  • Transmit any material that is false, misleading, defamatory, or that infringes on the rights of any third party.
  • Use the Platform to harass, threaten, or harm any person.
  • Reverse engineer, decompile, or attempt to derive the source code of the Platform.

J. Madison PLC reserves the right to suspend or terminate your access to the Platform at any time if it determines, in its sole discretion, that you have violated these Terms or engaged in conduct harmful to the Platform, its users, or the firm.

6. Third-Party Integrations and Google OAuth

Certain features of the Platform for internal users (attorneys and staff of J. Madison PLC) require connecting third-party accounts. When an internal user connects their Google account to the Platform:

  • Google Drive — The Platform requests access to create and manage documents in your Google Drive for the purpose of generating and exporting legal documents (e.g., exporting matter documents to Google Docs format).
  • Google Calendar — The Platform requests permission to read your calendar events and create calendar events on your behalf for the purpose of checking your availability for client appointments and scheduling confirmed a la carte or hourly service engagements.

The Platform only accesses the specific data described above and only when you have explicitly authorized it. You can revoke this access at any time by visiting your Google Account settings at myaccount.google.com/permissions. Revoking access may limit your ability to use certain scheduling and document export features.

Google OAuth tokens are stored securely in our database and are used only to perform the actions described above on your behalf. We do not sell, share, or use your Google data for any purpose other than operating the features for which you granted access.

7. Artificial Intelligence Features

Certain Platform features use artificial intelligence (AI) technology provided by third-party services as part of the Firm’s delivery of legal services. These features — including legal analysis, claim identification, limitations research, and case-modeling tools — are designed, maintained, and iteratively refined by the Firm’s licensed attorney-developers.

AI-generated content is part of the client’s confidential case file and is generated within the scope of the client’s agreement with the Firm. AI-generated content may contain errors or inaccuracies. The Firm does not guarantee individualized attorney review of every AI-generated output. Where an attorney is engaged for a matter, the attorney reviews the case file holistically and exercises professional discretion. Individualized review of specific AI-generated content is available through the Platform’s consultation and a la carte services. The client’s responsibilities regarding AI-generated content are set forth in the Client Access Agreement.

Use of certain advanced AI-powered features requires acceptance of the separate Premium Services Agreement, which describes the specific data submitted to AI providers and the scope of AI-assisted analysis.

8. Data Use and Privacy

Your use of the Platform is also governed by our Privacy Policy, available at jmadisonplc.com/privacy-policy, which is incorporated into these Terms by this reference. Our Privacy Policy describes the types of information we collect, how we use it, and your rights with respect to that information.

As a law firm, J. Madison PLC is subject to the Virginia Rules of Professional Conduct, which impose strict duties of confidentiality with respect to client information. Information you submit to the Platform in connection with a legal matter is subject to those ethical obligations in addition to these Terms and our Privacy Policy.

9. Intellectual Property

The Platform, including its design, content, functionality, source code, and all software underlying it, is owned exclusively by J. Madison PLC and protected by copyright, trade secret, and other applicable laws. These Terms do not transfer any intellectual property rights to you.

You retain ownership of any content you submit to the Platform (such as documents, descriptions, and statements), but you grant J. Madison PLC a limited license to use that content for the purpose of delivering the legal services you have requested.

10. Disclaimer of Warranties

The Platform is provided by J. Madison PLC as a law firm to facilitate the delivery of legal services, not as a software product with service guarantees. The Platform is provided on an "as is" and "as available" basis. J. Madison PLC makes no warranty, express or implied, that the Platform will be uninterrupted, error-free, or free of security vulnerabilities. J. Madison PLC is committed to maintaining the Platform to a high standard consistent with its professional obligations, but cannot guarantee availability at all times.

Nothing in the Platform constitutes legal advice to you unless you have an executed engagement agreement with J. Madison PLC covering the matter in question.

11. Limitation of Liability

To the fullest extent permitted by applicable law, J. Madison PLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Platform. J. Madison PLC's total liability for any claim arising from these Terms or your use of the Platform shall not exceed the greater of (a) the amounts paid by you to J. Madison PLC in the twelve months preceding the claim, or (b) one hundred dollars ($100).

This limitation does not apply to liability arising from J. Madison PLC's professional responsibilities as a law firm under the Virginia Rules of Professional Conduct or applicable malpractice standards.

12. Supersession by Specific Agreements

These Terms constitute the general baseline agreement between you and J. Madison PLC regarding your use of the Platform. If you enter into a separate, specific agreement with J. Madison PLC for legal services or other services — including but not limited to the Cloud Counsel Client Access Agreement, any a la carte or hourly services agreement, a contingent fee agreement, the Structured Referral and Co-Counseling Agreement, or the Affiliated Firm Cloud Counsel Subscription Agreement — the terms of that specific agreement shall control in the event of any conflict with these general Terms. Specific engagement agreements may carry stricter confidentiality obligations, different liability terms, or specific service commitments that supersede the general provisions herein.

13. Modifications to These Terms

J. Madison PLC reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Platform after any such changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

14. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Fairfax County, Virginia, or, if federal jurisdiction applies, the United States District Court for the Eastern District of Virginia, Alexandria Division.
